Disputes and Liability

CO-E ApS shall not be liable for any indirect losses, operating losses, loss of profit, loss of goodwill, or any other financial losses arising in connection with the provision of services or after delivery.
Any disputes relating to consultancy or deliverables shall be settled by the Danish courts in accordance with Danish law.

If a project timeline has been agreed upon, it must be adhered to by all involved parties.
Any delays must be communicated as soon as possible, and the parties agree to cooperate on necessary adjustments.
In case of absence or delays exceeding 15 minutes in connection with employee sessions, CO-E ApS reserves the right to charge a fee equivalent to one hour at a rate of DKK 500.00 excl. VAT. In such cases, a new session may be scheduled.

For fixed-price agreements regarding Organizational Design and Tailored Programs, 50% of the total amount is payable upon order confirmation. This does not apply to E-Programs and Leadership & Employee development, where payment is charged directly via www.co-established.com.
Final invoicing takes place upon delivery and customer approval of the agreed deliverables.
Work beyond the agreed scope is billed at an hourly rate of DKK 1,100.00 excl. VAT.
All prices are stated excluding VAT.

The following may be billed in addition to the agreed budget/estimate:

Needs and requests not covered by the agreed scope of delivery
Unforeseen circumstances not known to CO-E ApS at the time of agreement or outside the company's control

CO-E ApS will inform the customer of any additional charges before commencing such work.

Deliverables may include, but are not limited to: personal action plans, training materials, presentations, e-learning programs, workshops, templates, questionnaires, and reports.
Deliverables are provided in the agreed format (e.g., PDF, PowerPoint, Word, video, etc.).

The customer is granted the right to use the deliverables internally within their organization, including sharing materials with employees.
The customer may not resell, distribute, or publish the materials without prior written consent from CO-E ApS.
All intellectual property rights to materials, methods, and concepts remain with CO-E ApS unless otherwise agreed.

Deliverables typically include 1–3 rounds of revisions or adjustments (depending on the agreement).
Any additional changes or modifications outside the agreed scope will be billed separately.

CO-E ApS reserves the right to use the customer's name in marketing materials related to the collaboration across the company's platforms.
